WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, CURRENT, COMPLETE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of liability

10. Indemnification
You agree to defend, indemnify, and hold harmless The Shadow Index and its owners, affiliates, licensors, service providers, and representatives from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your violation of these Terms, misuse of the Site, Submitted Content, infringement of another person’s rights, or dealings with third parties through the Site.
11. Termination

12. Wyoming law and dispute resolution
These Terms and disputes relating to the Site are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Before filing a claim, you and The Shadow Index agree to attempt in good faith to resolve the dispute informally by written notice and 30 days of discussion. If unresolved, the dispute will be resolved through confidential, binding arbitration administered by the American Arbitration Association under its applicable Consumer or Commercial Arbitration Rules. Unless the parties agree otherwise, arbitration will take place in Sheridan County, Wyoming, or remotely when permitted by the applicable rules.
Either party may bring an eligible claim in small-claims court or seek temporary or injunctive relief in a court of competent jurisdiction to protect intellectual-property or confidential-information rights. For claims not subject to arbitration, the parties consent to the state and federal courts serving Sheridan County, Wyoming.
ARBITRATION WILL TAKE PLACE ONLY ON AN INDIVIDUAL BASIS. TO THE EXTENT PERMITTED BY LAW, YOU AND THE SHADOW INDEX WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION.
13. General terms
These Terms and the Privacy Policy are the entire agreement concerning the Site and supersede prior communications on that subject. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent; we may assign ours in connection with our work or business.
